OpenAI’s structure is different than most companies, and I think it’s important to know.
OpenAI (the company behind ChatGPT) started as a nonprofit built around a mission: to develop advanced AI in a way that benefits everyone. Noble! That mission, though, ran into some challenging hiccups pretty quickly. Building an innovative, competitive, saturated AI model cost company an enormous amount of money, and traditional nonprofit funding just simply couldn’t bring them to “market saturation” quickly enough.
So OpenAI built a hybrid system that doesn’t really exist in most traditional businesses (think: Uber, Meta, X – traditional).
A nonprofit ultimately controls OpenAI and is responsible for keeping the company aligned with its mission. This nonprofit structure defines the original mission and maintains control over the company. Underneath that is the for-profit company, which is responsible for standard business practices like raising capital, hiring talent, and actually building the products people use. The idea here is relatively simple in theory: let the business operate at the speed and scale it needs to (aka grow it fast and grow it big), while still being governed (aka led) by an entity that cares more about long-term impact over short-term gain.
In the early version of this structure, investors were limited in how much they could earn. There was a cap placed on returns (or money they could take out from the business as a gain), which was meant to act as a safeguard against the company becoming overly driven by becoming some huge moneymaking machine only focused on profit profit profit.
Basically, there were measures in place to ensure AI was doing good and not doing greed. Except, things changed.
They operated this way for a while, but it became harder as OpenAI was scaling rapidly so by 2025, the company shifted toward a more traditional equity model. They needed money to grow, and they needed to bring in investors with massive pockets, and those investors would not get involved with the previously mentioned cap in place. If they’re giving $500M, they want to see it come back to them big time. And OpenAI wanted to compete, they wanted to dominate the market, which you don’t really do as a nonprofit, at least not quickly. Still, the nonprofit was in control through ownership and board authority, which meant the original mission still existed as governance – or legally how they had to grow and operate – at least on paper.
What ended up happening is OpenATI became a system that is trying to do two things at once: operate like a high-growth, venture-backed tech company while also being constrained by a mission-driven oversight umbrella. It would be like if you wanted to make as much money as possible but the Pope was your boss – you’d feel constrained by the morality of the mission even though you wanted to go fast and make billions of dollars. It created a lot of tension that is difficult to resolve in a way where everybody walks away happy.
It’s an identity dilemma: are we in the space of doing good in an innovative arena that concerns us? Or do we make an enormous amount of the money regardless of the results?
Why This Doesn’t Fully Work
The issue is very obvious when you look at what it actually takes to build AI at this level.
We are no longer talking about small teams experimenting with AI models. We are talking about infrastructure that costs billions, research teams that operate at global scale, and development timelines that require constant iteration and tracking and changing without immediate returns. The barrier to entry is incredibly high, and the cost of staying competitive is enormous, and rising.
That reality naturally pulls OpenAI into a more traditional business dynamic, whether they like it or not. It needed to raise significant capital, move quickly, and scale aggressively in order to stay relevant in an increasingly crowded and competitive space.
Without the shift into rapid growth, there’s a chance you never would have heard of OpenAI.
At the same time, the nonprofit layer is there for a reason, and it exists to make sure decisions are not made purely in pursuit of growth or revenue, even if that means moving slowly. That creates an ongoing problem inside the structure. Every major decision sits somewhere on a spectrum between speed and restraint, and there is no way to optimize for both at all times.
The original capped-profit model was an attempt to manage this. By limiting investor upside, it made it where there was far less pressure to make this “great for shareholders”, as quickly as possible. It was, in many ways, a structural attempt to build ethics into the financial model. The goal is the greater good, not making the board a bunch of billionaires.
Over time, though, you can imagine this comes to a head and a decision needs to be made. The company needed more capital, and capital at that level tends to come with expectations. Moving toward a standard equity structure solved the fundraising problem (aka investors were finally interested), but it also increased the importance of governance (or what the big picture goal was). If financial incentives are no longer deprioritized to make the right decision over the most profitable one, then you have to wonder how much influence the nonprofit truly has in practice.
Does it even matter anymore?

How Other AI Companies Handle This
Most AI companies have not taken this route.
Large tech companies like Google and Meta run as a traditional corporate structures, where the primary obligation is to shareholders. They care about the consumer only through the lens of “if we upset them, they may leave, and that means we can’t give a return to our investors/shareholders”. It’s less about building something good, and more about building something good for their bank – their shareholders.
Some newer companies have tried to approach this more intentionally. Anthropic, for example, is set up as a Public Benefit Corporation, which legally requires it to consider both profit and public impact in its decision-making. It also has additional governance mechanisms in place to make sure they adhere to keeping a balance between profit and public good.
What this really comes down to is control, and in my opinion, greed.
In a traditional company, profit is the key thing that matters, and everything else is on top of that. In a mission-driven structure, there are actual constraints in place that are meant to shape how decisions get made, because the mission comes first.
That makes it one of the more interesting case studies in the industry right now, because it is actively testing whether those two conflicting goals can coexist at scale.
Where This Could Go Next
There are a few realistic directions this structure could evolve into, and as consumers, we should pay attention to how this structure changes. This will affect our privacy, our futures, and needs to be reflected in future legislation.
One path OpenAI could take is fully changing over to a normal for-profit company. That would make fundraising simpler and make their internal work way less complex for their legal/finance team, but it would also remove their requirement to adhere to a mission.
Another option is they stay the course with their already messy structure: a high-growth company operating under nonprofit oversight. This keeps the mission in place while allowing capital to flow in still.
A third option is splitting the system more clearly. One entity focuses on commercial products. Another focuses purely on safety research and alignment. Far less likely but would allow OpenAI the brand to have a mission-focused business and a for-profit tech company under the same umbrella, but would also slow them down and create more problems than it solves.
The scary possibility is that they become a stronger government ally if not being fully adopted by government as an entity. If AI keeps becoming treated like a more critical part of government work, then there may be a world they prioritize this opportunity.
At the end of the day, it’s all a different answer to the same problem: how do you build a business that requires enormous amounts of capital but also has major societal impact.

It’s not really about “how OpenAI has chosen to build their brand”, but more so an issue we should be following and watching, as it will impact each of us. It’s hard to care about everything in the world, but if you’re reading this article, I’d consider you find a way to care enough to take action in some way.
This is what happens when a tech company becomes:
- extremely expensive to run
- extremely fast moving
- focused on shareholders > mission
- and important at a global level
Traditional corporate structures were not built for that combination.
The direction they choose will matter beyond just this one company. It will influence how future AI companies are formed, how they are funded, and how much control mission and the oversight of ethics work when the stakes are this high.
